COMPANIES ACT 1938 - Notice of Intention to Apply for a Certificate of Incorporation of a Company by the Name of G U D MANUFACTURING COMPANY PROPRIETARY LIMITED - Pursuant to Section 16 (8) (a) (11) - The particulars of the company are as follows -
1. The name, address, and description of the promoter is Arthur James Harford, of 574 St Kilda road Melbourne engineer.
2. The names, addresses and description of the proposed directors are:- Arthur Jame Harford, 574 St Kilda road, Melbourne engineer; Henry Nelson Sharples, 191 Kooyong road Caulfield engineer; Herbert Wood 14 Kambea grove, Caulfield manager; Robert Nelson Vroland, l8 Ferncroft avenue East Malrern solicitor.
3. The proposed situation of the reglstered office of the company is 181 Queen street Melbourne.
4. The particlars of any business and assets proposed to be transferred to or acquired by the company and the names addresses and description of the vendors to the company are as follows - The company propose, to acquire all that the right title and interest of Arthur James Harford of 574 St. Kilda road Melbourne erglneer in and to the business carried on by him under his own name at 191 Queen street Melbourne together with the goodwill thereof the stock in trade plant machinery and fittings and fixtures used in connection therewith and all other the assets thereof excluding book debts.
The amount paid or payable as purchase consideration in cash shares and or debentures for any such business and assets as aforesaid including goodwill is £498.
The amount paid or payable as purchase consideration for goodwill thereof is nil.
5. The total amount of liabilities to be taken over by the company Is as follows -(a) Nil.
I, Arthur James Harford of 574 St Kilda road Melbourne engineer, hereby give notice that I will on the second day of December 1940. APPLY to the Registrar Oeneral to REGISTER the COMPANY above described under the provisions of the Companies Act 1938 in accordance with the memorandum and articles of association lodged herewith, and I hereby direct that notice of any caveat which may be entered against such registration may be posted addressed as follows - Arthur James Harford, care of Rodda, Ballard & Vroland solcitors, 430 Little Colllns street Melbourne.
