COMPANIES ACT 1938. - Notice Of Intention to Apply for a Certificate of Incorporation of a Company by the Name of FRACTIONAL H. P. MOTORS PTY LIMITED, Pursuant to Section 26 (8) (a) (ii) - The particulars of the Company Are As Follows:-

1. The name, address, and description of the promoter is Donald Speed, of 53 Bruce street, Toorak, company director.

2. The names, addresses, and descriptions of the proposed directors are Donald Speed, of 53 Bruce street, Toorak company director, and George Ake Lutzhoft Hellstrom, of 62 Sandringham road, Sandringham, engineer.

3. The proposed situation of the registered office of the company is Bay road, Highett.

4. The particulars of any business and assets proposed to be transferred to or acquired by the company, and the name, address, and description of the vendor to the company are as follows:-

(a) All that piece of land situate in Bay road, Highett, being Lot 150 on Plan of Subdivision No 9880 and being the whole of the land described in Certificate of Title, Volume 5949, Folio 1189605

(b) Tools and machinery

(c) The business of manufacture of fractional horse-power electrical motors in course of being set up by the vendor, including all pending contracts, blue prints for production of electrical motors, and erection of factory buildings

The vendor is the abovenamed George Ake Lutzhoft Hellstrom.

The amount payable as purchase consideration in cash, shares, and/or debentures for such business and assets as aforesaid, including goodwill, is eleven hundred pounds. No amount is payable as purchase consideration for goodwill.

5. The total amount of liabilities to be taken over by the company is nil.

I, Donald Speed, of 53 Bruce street Toorak, hereby give notice that I will, on the eighth day of March, 1948, APPLY to the Registrar-General to REGISTER the COMPANY above described, under the provisions of the Companies Act 1938 in accordance with the memorandum and articles of association lodged herewith, and I hereby direct that notice of any caveat which may be entered against such registration may be posted addressed as follows:- Donald Speed c/o Stewart and Dimelow, 422 Collins street, Melbourne.
